Valuation

Brauerei Oerlikon plans to launch the fundraising campaign via OOMNIUM with a pre-money valuation of CHF 2.3 million. The pre-money valuation was prepared using three valuation methods. Firstly, a discounted cash flow valuation was carried out using the perpetuity approach. This approach assumes that the company will continue to grow indefinitely after the forecast period at a growth rate similar to inflation. This value is discounted to the present day together with the planned cash flows. Furthermore, comparable transactions of European breweries of the last two years were analyzed. The value investors attributed to the companies in comparable transactions is recorded. The third method used was the BV4 valuation model, which incorporates both quantitative and qualitative factors into the valuation.

The three methods were weighted equally, resulting in an average enterprise value of CHF 2.2 million. As at June 2024, the company had cash and cash equivalents that exceeded its financial liabilities. Consequently, the net cash was added to obtain the equity value of CHF 2.3 million. The calculation of the valuation using three valuation methods results in a robust valuation that is considered plausible.

Brauerei Oerlikon AG was audited by the independent consulting firm BV4. The detailed plausibility check is set out in a report attached below.

History

2015
Founded as a hobby brewery in Oerlikon.

2020
Founding of a public limited company and first capital increase to CHF 1 million. Since then, the brewery is fully crowd-owned. Investments were made in an automatic bottling line and jacket-cooled pressurized tanks. This marks the leap from hobby operation to professionalism.

2021
Operational takeover by Jannis and Nicolas. Opening of our own bar (Taproom) and expansion of the product range.

2022
The Taproom establishes itself as a popular neighbourhood meeting place and cultural venue.

2023
Successful Pop-up in the Chuchi am Wasser («Zum Warme Werni»)

2024
Launch of several beer collaborations with internationally renowned breweries such as Uchu (Tokyo), North (Leeds) and Sibeeria (Prague).

Juni 2024
Signing of the preliminary contract for the new location.

Next milestones

October 2024: Opening of a beer pop-up in Kreis 3.
End of 2024: Move to the new location (Örlikerhus).
January 2025: Opening of the new taproom.

Growth strategy & use of capital

The demand for our beer is currently exceeding our capacity. We are using the additional funding to invest in moving the brewery to a larger and more central location. A new automated brewing system will allow us to double our production. The upgrade will not only increase our efficiency, but also save energy by allowing us to keep the waste heat in circulation. The larger premises will give us space for more and larger fermentation tanks, which are ultimately the bottleneck of any brewery. We are also investing in the expansion of a larger taproom, which will attract even more visitors thanks to its central and accessible location.

If the maximum amount is reached, we will be able to invest in additional technical equipment such as CO2 measuring devices, a centrifuge and a can filling line and secure reserves for future capacity expansion.

Current shareholder structure

Brauerei Oerlikon is currently supported by 555 shareholders, none of whom hold a majority stake. The largest shareholder currently owns 7% of the shares. Most shareholders own packages of 10 shares. The company is already 100% owned by the crowd. Both the Board of Directors and the operational management are invested in the company.

This financing round focusses again on small shareholders and the company will remain 100% community funded. Larger investments (> CHF 20'000) from partners, e.g. from the hospitality industry, will be examined bilaterally and assessed strategically.

Business Model

We produce a wide range of high-quality and innovative beers. The focus is on a balanced core range and a variety of limited specials. The core range caters to the masses, while the limited editions provide excitement and exclusivity. The limited-edition beers delight both direct consumers in the taproom and hospitality partners who are looking for variety and innovation.

Our main sales channel is direct sales in the taproom, which currently accounts for over 60% of sales. The rest of the turnover is generated through sales in the hospitality trade - with over 30 partners already - smaller specialist retail outlets and events (beer festivals, parties, etc.).

Break-even is already forecast for 2024, for which we are well on track. In the following year, we expect a negative EBITDA, which is attributable to the relocation at the end of 2024/beginning of 2025. The move is associated with investments, higher rental costs and an interruption in production. We expect EBITDA to be positive from 2025 onwards.

Market environment & potential

Microbreweries have experienced a boom in Switzerland over the last 15 years. We also started out as a small hobby brewery and have now established ourselves as a professionally managed microbrewery. In contrast to industrial breweries, we promote innovation and co-operation and the exchange of knowledge with other breweries. In and around Zurich, there are currently only a handful of breweries of our size and with a similar focus. As these are mainly focussed on local direct sales, we only compete with some of them in the hospitality sector. However, our approach is that we are stronger together and can benefit from each other. We maintain a very familiar relationship with these breweries.

Unique Selling Point

We produce beer that is innovative and creative, but still appeals to the taste of the masses. We have a beer for everyone. We focus on drinkability in our core range as well as in our limited-edition beers. Our broad community clearly shows that this works.

Manager

Originally a finance student at the University of Zurich, he found his way into the brewery by chance. What started as a spontaneous temporary job turned into taking over the management after just a few weeks. So, he quickly said goodbye to his Master's degree and has now been running the brewery for 3.5 years.

Nicolas Zimmermann
Production Manager

As a pharmacist from Alsace, he is no stranger to chemicals processes. Formerly a hobby kitchen brewer, he has been at the brewery since 2019 and is the creative and leading mind behind our creations.

Originally a lawyer, he found his way to us as a bike courier, where he was gripped by a passion for creating something with his hands and proudly presenting a high-quality product as an outcome.

Elliot Stew
Brewer & Content Creator

Originally joining us as a bartender, he quickly ended up in the production team and got to know the brewing process. As an art school graduate from London, he uses his expertise in graphic design and content creation. He is also an essential driver of our marketing strategy.

Board of Directors

The operational team is supported by intensive collaboration with the Board of Directors. The Board of Directors currently consists of Andreas Graf (Specialist for rail transport), Anita Wildi (Neuropsychologist), Philippe Hegner (Lawyer) and Simon Kuhn (IT & Technology Manager).
